博物馆会员制 ——博物馆市场营销或公益行为?

摘要:博物馆会员制是为了促进和帮助博物馆完成“增进对世界的了解,旨在为人类尊严和社会正义,全球平等和福祉做贡献”的宗旨,是一项支持博物馆完成使命,帮助博物馆更好、更长久发展的博物馆市场营销机制。尽管博物馆会员制是一项市场营销手段,但博物馆会员制的运转不能偏离博物馆非营利性的轨道。博物馆会员制虽是博物馆的市场行为,但它却遵循博物馆的非营利性,并且具有公益性。

国际博物馆协会在对博物馆的最新定义中写道:“博物馆是过去和将来进行批判性对话的民主、包容和多元的空间……它是非营利的。”[1]这一定义中明确地阐述了博物馆的非营利性质,这也意味着博物馆的一切活动都不以营利为目的,包括博物馆会员制(Membership of Museum)这一博物馆市场营销行为。

(一)博物馆发展的公益助力军

目前学界对博物馆会员制并没有确切的定义,通常,学者们将博物馆会员制与“博物馆之友”(Friends of Museum)的定义相互等同。前任国际博物馆理事会秘书长路易斯·蒙雷尔于1972年在巴塞罗那举行的世界博物馆之友第一次大会上所作讲演中谈到,关于博物馆之友的性质,“可以说目前博物馆之友的存在,是为了对博物馆提供精神和物质的支持,同时,在教育公众的工作方面给博物馆以帮助”。[2]世界上最早的博物馆之友出现在19世纪的欧洲,成员们主要通过博物馆向公众传播科学、历史和艺术知识,最初是以教育为目的的学术团体,后随着博物馆社会基础的扩大,博物馆之友的群体逐渐趋向于大众化[3],直至 20 世纪70、80年代,欧美各国几乎所有博物馆都建立了这样的组织。有所不同的是,欧洲一般称其为博物馆之友或博物馆之友协会(Societies of Friends of Museum),而美国一般称其为博物馆会员制。

面对博物馆会员制这一叫法,我们不可望文生义。不同于市场营销学上的“会员制营销”(Membership Marketing)以帮助企业更好地进行利润的创造、以企业的营利为最终目的,从最初博物馆之友的诞生、存在意义及其性质,我们可以看出,博物馆会员制对博物馆的意义在于奉献精神和支持作用,其目的是为了向博物馆提供人力、物质、资金等多方资源支持,而非获取利润的营利。博物馆会员制是为了促进和帮助博物馆完成“增进对世界的了解,旨在为人类尊严和社会正义,全球平等和福祉做贡献”[4]的宗旨而服务,是一项支持博物馆完成使命,帮助博物馆更好、更长久发展的博物馆市场营销机制。博物馆会员制虽是一项市场营销手段,但其运转不能偏离博物馆非营利性的轨道。博物馆会员制虽是博物馆的市场行为,但其遵循博物馆的非营利性,并且具有公益性。

尽管博物馆会员制不以创造收入和利润为目的,它却着实为博物馆带来了可观的资金和财务上的支持。一个安全、妥善的会员制度可以对博物馆的未来产生莫大的影响力,尤其在组织和财务运作方面。[5]从各大艺术博物馆的年度报告上,我们可以看见博物馆会员制所带来的收入是博物馆发展道路上的一支不可或缺的助力军。

以美国大都会艺术博物馆(Metropolitan Museum of Art)为例,大都会艺术博物馆在其官网列出了从2008年至2018年的年度报告,其中就包含详尽的财务报告(Financial Report)以及会员制的收入与支出情况。以2018年为例,2018年度大都会艺术博物馆会员制所带来的收入为2865万美元,占年度总收入的10%,会员收入成为总体收入的第四大比重,而在此之前的则是占比36%的礼品商店等营销创收收入、占26%的基金投资与赞助收入以及占16%的门票收入。[6]大都会艺术博物馆会员制的年度收入统计数据几乎与门票收入持平,甚至占据基金投资这样大额收入款项的近三分之一,可见博物馆会员制对博物馆在财政收入上不可小觑的支持作用

除了会费的直接支持外,由于博物馆的非营利性质在欧美得到了较为完善的税法体系的支持与保护,非营利性质的博物馆会员制的会费收入也给博物馆和捐赠的会员都带来了税收上的优惠。例如在美国,经过政府审查,认定以公益为存在目的包括博物馆在内的非营利机构或组织所遵循的都是代码501条款下的联邦免税规定,但博物馆必须通过三项资金支持测试中的一项,方可确立其符合非营利艺术机构免税的身份:

▪ 必须证明年度资助的至少1/3来自政府资金、赠与、捐赠或会员费、非商业、无交易活动中的入场费、商品销售、服务型表演或陈设设备。其年度自资助的非相关收入或投资收入不超过1/3。

▪ 其年度资助中的至少10%必须接受自一般公众(包括各级政府),必须用于持续性吸引新公众或政府资助的组织和运营。

▪ 年度总资助的1/3必须来自各级政府和公众,即便该组织的组织和运营并不是吸引持续额外资助。[7]

这些法律严格规定着美国的博物馆想要通过博物馆会员制获得税收减免则必须做到从事符合其公益目的的工作,甚至要求博物馆必须建立捐赠或者会费收入以证明其非营利性质,这从法律的根本上规定了博物馆会员制的非营利性和公益性。

不少的博物馆将会员制的会费收入纳入“捐赠收入”的范畴,亦可见博物馆会员制是捐赠的公益善举。以卢浮宫(The Louvre)为例,卢浮宫将个人会员划分在“捐赠和支持卢浮宫”的模块中,将卢浮宫之友协会的会费视为个人的公益捐赠,并且制定了《个人捐赠者道德宪章》,对卢浮宫之友的会费捐赠做出了详细的说明和规定。宪章首句便道明卢浮宫之友协会会费“(捐赠)使得博物馆得以履行使命,追求发展,拓展国际活动”的非营利目的;也表明这些资源(捐赠)的目的是为一个公共文化机构提供资金,遵守法国法律关于捐赠和赞助的相关税法规定;同时,宪章对卢浮宫和捐赠的会员都做出了要求,例如明确要求卢浮宫在接受捐赠和赞助时候需确保的艺术独立性,向会员公示资金的管理和道德标准,公布会员名单以示尊敬和感激等……[8]

 

(二)公益为本,营销为道

然而不得不说的是,成功的博物馆会员制往往都是通过市场营销吸引、动员和维持会员,以助力实现为支持博物馆宗旨和发展的公益价值,这其中最典型的案例之一就是洛杉矶艺术博物馆(Los Angeles County Museum of Art)营销拉美裔会员制的案例。起初,洛杉矶艺术博物馆的9万会员中只有4%的拉丁美洲血统,但艺术博物馆所在的在洛杉矶大都会区,收入6万美元以上的家庭之中有14%都是拉美裔。为了改善和社区中这部分人的关系并且争取到他们的捐赠,洛杉矶艺术博物馆组织了一次名为“墨西哥:30个世纪的辉煌”(Mexico: splendors of 30 Centuries)的重要展览以及大型的市场营销活动,在展览和活动期间,有5800名拉美裔成为会员,使全体会员中拉美裔的比例提高到将近6%,[9]市场营销既为洛杉矶艺术博物馆增加了更多的会费财政收入,也改善了拉美裔居民与博物馆和社区的关系,最大程度地完成了社区博物馆的使命和公益价值。我们不能否认的是,博物馆需要通过聪明的市场营销方法来最大化实现博物馆会员制所带来的支持,最终实现其非营利性和公益性的最大化。可以说,博物馆会员制的运营虽是公益行为,却离不开市场营销的方法辅助。

即便博物馆会员制的市场营销在会员制的发展全过程中有关键的作用,但当博物馆会员被问到他们加入某一机构和组织成为会员的原因时,绝大数人的答案却并与市场营销无关,而是指向了博物馆会员制的公益性质——“博物馆对社会而言是很重要的。”[10]因此,我们可以断定,建立和发展成功的博物馆会员制的核心是使得观众对博物馆使命、文化及其公益事业有归属感和认同感。

西方国家向来有支持公益事业的风尚,据《捐赠美国》记录,美国人在2005年捐出的2602.8亿美元慈善款中,135.1亿美元,即总款额的5.2%给了艺术。[11]如前文所述,免税体系和市场营销手段支持着博物馆会员制的运作,一方面刺激了捐赠和会员制度的发展,另一方面完善的税收减免制度鼓励了西方社会公益精神的发展,使得公民形成了公益捐赠的心理和习惯。尽管如此,博物馆会员制的非营利性和公益性最终转化为社会对博物馆公益事业的支持风尚,除了优秀的市场营销方法和完善的税收体系之外,更离不开的是博物馆自身对会员制的认知和对观众的公共教育。

以中央美术学院美术馆(CAFA Art Museum)为例,在央美美术馆官方网站中,将会员制置于“支持美术馆”板块中,明确地表达了博物馆会员制的意义和自身对会员制的定位与认识,而后在每一层级会员的申请页面中,提供了详尽的项目财政说明、项目执行计划、会员制的意义、募捐情况,以明晰数据和具有说服力的执行计划说服会员进行捐赠,给予观众正确的公共教育和引导。以下为中央美术学院美术馆在官网对会员制内容(包括项目预算、项目执行计划)所做出的说明:

而现今国内能够同央美美术馆一样,在公共空间对会员制进行主动说明与介绍的机构和组织屈指可数,足以见得博物馆关于会员制的公共教育之匮乏,对会员制认识也并不明朗。然而,我们必须要意识到,博物馆只有在对其会员制的非营利性质和公益性有清楚的认知之后,才有可能建立和发展自身长久的、繁盛的会员制。一是因为只有博物馆意识到会员制是一项不以营利为目的的制度时,博物馆才能确保在会员制营销中始终坚持自身的宗旨和使命,不以金钱为标杆,避免以钱换物、以钱换画等误区,也避免获得资金与市场却失去话语权的境地。二是因为只有博物馆自身在会员制方面真切做到非营利和公益,它才能向观众传达正确的价值观念,引导和激励观众对其慷慨捐赠和资助,才能引领以资助和捐赠博物馆为荣的公益风气的形成。

相对应的,观众在接受到博物馆的公共教育之后,能对博物馆会员制的非营利性和公益性有更深入的认知,让观众明白博物馆会员制这看似充满商业味道的博物馆市场营销行为背后,真正的非营利性和公益性,从而自发地通过博物馆会员制来支持博物馆,形成良好的支持风尚。

If an event causes any degree of loss or damage to the museum site, space, artworks, or derived products due to an individual, persons not involved in the accident and the museum do not undertake any liability for losses. The event participant must negotiate and provide compensation according to the relevant legal statutes and museum rules. The museum may sue for legal and financial liability.

Article VI

Event participants will participate in the event under the guidance of museum staff and event leaders or instructors and must correctly use the painting tools, materials, equipment, and/or facilities provided for the event. If a participant causes injury or harm to him/herself or others while using the painting tools, materials, equipment, and/or facilities, or causes the damage or destruction of the tools, materials, equipment, and/or facilities, the event participant must undertake all related liability and provide compensation for the financial losses. Persons not involved in the accident and the museum do not undertake any liability for personal accidents.

CAFA Art Museum Portraiture Rights Licensing Agreement

According to The Advertising Law of the People’s Republic of China, The General Principles of the Civil Law of the People’s Republic of China, and The Provisional Opinions of the Supreme People’s Court on Some Issues Related to the Full Implementation of the General Principles of the Civil Law of the People’s Republic of China, and upon friendly negotiation, Party A and Party B have arrived at the following agreement regarding the use of works bearing Party A’s image in order to clarify the rights and obligations of the portrait licenser (Party A) and the user (Party B):

I. General Provisions

(1) Party A is the portraiture rights holder in this agreement. Party A voluntarily licenses its portraiture rights to Party B for the purposes stipulated in this agreement and permitted by law.

(2) Party B (CAFA Art Museum) is a specialized, international modern art museum. CAFA Art Museum keeps pace with the times, and works to create an open, free, and academic space and atmosphere for positive interaction with groups, corporations, institutions, artists, and visitors. With CAFA’s academic research as a foundation, the museum plans multi-disciplinary exhibitions, conferences, and public education events with participants from around the world, providing a platform for exchange, learning, and exhibition for CAFA’s students and instructors, artists from around the world, and the general public. As a public institution, the primary purposes of CAFA Art Museum’s public education events are academic and beneficial to society.

(3) Party B will photograph all CAFA Public Education Department events for Party A.

II. Content, Forms of Use, and Geographical Scope of Use

(1) Content. The content of images taken by Party B bearing Party A’s likeness include: ① CAFA Art Museum ② CAFA campus ③ All events planned or executed by the CAFAM Public Education Department.

(2) Forms of Use. For use in CAFA’s publications, products with CDs, and promotional materials.

(3) Geographical Scope of Use

The applicable geographic scope is global.

The media in which the portraiture may be used encompasses any media that does not infringe upon Party A’s portraiture rights (e.g., magazines and the internet).

III. Term of Portraiture Rights Use

Use in perpetuity.

IV. Licensing Fees

The fees for images bearing Party A’s likeness will be undertaken by Party B.

After completion, Party B does not need to pay any fees to Party A for images bearing Party A’s likeness.

Additional Terms

(1) All matters not discussed in this agreement shall be resolved through friendly negotiation between both parties. Both parties may then sign a supplementary agreement, provided it does not violate any laws or regulations.

(2) This agreement comes into effect on the date that it is signed (sealed) and the relevant boxes are selected by Party A and Party B.

(3) This agreement exists in paper and electronic forms. The paper form is made in duplicate, with Party A and Party B each retaining one copy with the same legal efficacy.

Event participants implicitly accept and undertake all the obligations stated in this agreement. Those who do not consent will be seen as abandoning the right to participate in this event. Before participating in this event, please speak to your family members to obtain their consent and inform them of this disclaimer. After participants sign/check the required box, participants and their families will be seen as having read and agreed to these terms.

CAFA Art Museum Event Safety Disclaimer

Article I

This event was organized on the principles of fairness, impartiality, and voluntary participation and withdrawal. Participants undertake all risk and liability for themselves. All events have risks, and participants must be aware of the risks related to their chosen event.

Article II

Event participants must abide by the laws and regulations of the People’s Republic of China, as well as moral and ethical norms. All participants must demonstrate good character, respect for others, friendship, and a willingness to help others.

Article III

Event participants should be adults (people 18 years or older with full civil legal capacity). Underage persons must be accompanied by an adult.

Article IV

Event participants undertake all liability for their personal safety during the event, and event participants are encouraged to purchase personal safety insurance. Should an accident occur during an event, persons not involved in the accident and the museum do not undertake any liability for the accident, but both have the obligation to provide assistance. Event participants should actively organize and implement rescue efforts, but do not undertake any legal or economic liability for the accident itself. The museum does not undertake civil or joint liability for the personal safety of event participants.

Article V

During the event, event participants should respect the order of the museum event and ensure the safety of the museum site, the artworks in displays, exhibitions, and collections, and the derived products. If an event causes any degree of loss or damage to the museum site, space, artworks, or derived products due to an individual, persons not involved in the accident and the museum do not undertake any liability for losses. The event participant must negotiate and provide compensation according to the relevant legal statutes and museum rules. The museum may sue for legal and financial liability.

Article VI

Event participants will participate in the event under the guidance of museum staff and event leaders or instructors and must correctly use the painting tools, materials, equipment, and/or facilities provided for the event. If a participant causes injury or harm to him/herself or others while using the painting tools, materials, equipment, and/or facilities, or causes the damage or destruction of the tools, materials, equipment, and/or facilities, the event participant must undertake all related liability and provide compensation for the financial losses. Persons not involved in the accident and the museum do not undertake any liability for personal accidents.

CAFA Art Museum Portraiture Rights Licensing Agreement

According to The Advertising Law of the People’s Republic of China, The General Principles of the Civil Law of the People’s Republic of China, and The Provisional Opinions of the Supreme People’s Court on Some Issues Related to the Full Implementation of the General Principles of the Civil Law of the People’s Republic of China, and upon friendly negotiation, Party A and Party B have arrived at the following agreement regarding the use of works bearing Party A’s image in order to clarify the rights and obligations of the portrait licenser (Party A) and the user (Party B):

I. General Provisions

(1) Party A is the portraiture rights holder in this agreement. Party A voluntarily licenses its portraiture rights to Party B for the purposes stipulated in this agreement and permitted by law.

(2) Party B (CAFA Art Museum) is a specialized, international modern art museum. CAFA Art Museum keeps pace with the times, and works to create an open, free, and academic space and atmosphere for positive interaction with groups, corporations, institutions, artists, and visitors. With CAFA’s academic research as a foundation, the museum plans multi-disciplinary exhibitions, conferences, and public education events with participants from around the world, providing a platform for exchange, learning, and exhibition for CAFA’s students and instructors, artists from around the world, and the general public. As a public institution, the primary purposes of CAFA Art Museum’s public education events are academic and beneficial to society.

(3) Party B will photograph all CAFA Public Education Department events for Party A.

II. Content, Forms of Use, and Geographical Scope of Use

(1) Content. The content of images taken by Party B bearing Party A’s likeness include: ① CAFA Art Museum ② CAFA campus ③ All events planned or executed by the CAFAM Public Education Department.

(2) Forms of Use. For use in CAFA’s publications, products with CDs, and promotional materials.

(3) Geographical Scope of Use

The applicable geographic scope is global.

The media in which the portraiture may be used encompasses any media that does not infringe upon Party A’s portraiture rights (e.g., magazines and the internet).

III. Term of Portraiture Rights Use

Use in perpetuity.

IV. Licensing Fees

The fees for images bearing Party A’s likeness will be undertaken by Party B.

After completion, Party B does not need to pay any fees to Party A for images bearing Party A’s likeness.

Additional Terms

(1) All matters not discussed in this agreement shall be resolved through friendly negotiation between both parties. Both parties may then sign a supplementary agreement, provided it does not violate any laws or regulations.

(2) This agreement comes into effect on the date that it is signed (sealed) and the relevant boxes are selected by Party A and Party B.

(3) This agreement exists in paper and electronic forms. The paper form is made in duplicate, with Party A and Party B each retaining one copy with the same legal efficacy.

Event participants implicitly accept and undertake all the obligations stated in this agreement. Those who do not consent will be seen as abandoning the right to participate in this event. Before participating in this event, please speak to your family members to obtain their consent and inform them of this disclaimer. After participants sign/check the required box, participants and their families will be seen as having read and agreed to these terms.
